are made independently of advertising, sponsorship, or commercial partnerships.
Advertising and sponsored content are clearly identified, transparently
disclosed, and never influence editorial judgement.
Our platforms exist to serve healthcare leaders, clinicians, and institutional
decision-makers with impartial, factual, and professionally governed content. Commercial
collaborations enable reach and sustainability — they do not influence
editorial content.

1. Purpose and Scope
This Policy governs all advertising, sponsorship, media collaboration, commercial partnerships, campaigns, communities, and related services (“Media Services”) provided by MindByte Communications Ltd (“Media House”). It applies to all advertisers, sponsors, agencies, partners, and clients (“Client”). Client terms that deviate from this Policy are excluded unless expressly accepted in writing by the Media House.
2. Definitions
Media Services include all advertising, sponsorships, campaigns, communities, content collaborations, and related commercial activities. Editorial Content refers to independently produced articles governed solely by editorial teams. Sponsored Content is commercially influenced material that is clearly labelled as such. Advertising Materials are creative assets provided by the Client. Exclusive Communities are subscription-based thematic platforms that operate year-round. A Campaign is a specific period of activity carried out across agreed channels.
3. Editorial Independence and Separation
Editorial independence is fundamental and non-negotiable. All editorial decisions, including topic selection, commissioning, authorship, review, editing, timing, and publication, are made independently of commercial interests. No Media Service grants the Client any right to influence, preview, edit, delay, suppress, or coordinate editorial content. Editorial teams do not engage in commercial negotiations, and editorial timing is not coordinated with advertising or sponsorship activities.
4. Transparency, Disclosure & Labelling
All commercial and sponsored content is clearly, visibly, and unambiguously disclosed in accordance with EU Unfair Commercial Practices regulations and healthcare communication standards. Labels such as “Advertisement”, “Sponsored”, “Partner Content”, or equivalent are prominently displayed. Disclosure ensures transparency and does not imply endorsement, validation, or editorial approval.
5. Ethical, Legal & Healthcare Communication Standards
All Media Services must adhere to applicable EU and national healthcare advertising laws, medical device and pharmaceutical regulations, professional conduct standards, and the EU General Data Protection Regulation (GDPR). Prohibited content includes misleading or unverifiable claims, off-label promotion, unsubstantiated comparative claims, consumer-facing healthcare advertising where not permitted, political or lobbying content without prior approval, and content presented as clinical, regulatory, or legal advice.
6. Advertising Formats & Acceptance
Accepted formats include digital displays, newsletters, campaigns, sponsored placements, events, communities, and other formats listed in the current media kit or agreed in writing. The Media House reserves the right to reject, suspend, label, or remove advertising that violates the law, infringes third-party rights, conflicts with editorial integrity, or is unsuitable for professional healthcare audiences.
7. Creative Materials, Workflow & Deadlines
Clients must provide materials that meet the Media House’s technical specifications and deadlines. Late delivery may reduce campaign duration without refund. The Media House may modify non-conforming materials at €240 per hour, billed in 15-minute increments. The Media House is not responsible for errors resulting from late or incomplete materials.
8. Client Responsibilities & Indemnification
Clients warrant that all supplied materials comply with applicable law and that all intellectual property, image, and data protection rights are secured. Clients indemnify and hold the Media House harmless against all claims arising from supplied materials or unlawful content.
9. Intellectual Property
Editorial content produced by the Media House remains protected by copyright and may not be reproduced without written permission. Sponsored content produced by the Media House remains its intellectual property unless otherwise agreed. Clients grant the Media House a limited licence to use supplied materials solely for the agreed Media Services.
10. Confidentiality
All non-public information exchanged in the context of Media Services shall be regarded as strictly confidential. This obligation continues beyond termination and does not extend to information that is publicly available, independently obtained, or required to be disclosed by law.
11. Campaign Delivery & Reporting
Campaigns are delivered according to agreed durations, placements, or exposure levels and are managed by the Media House. Reports reflect delivery metrics only and may include estimates or sampling. No guarantees are provided regarding engagement, leads, conversions, or any commercial, clinical, or regulatory outcomes.
12. Cancellations, Amendments & Termination
Cancellations or amendments require written notice and approval. Free cancellation is available within five working days of order confirmation unless otherwise agreed. Exclusive Communities renew automatically unless terminated at least three months before expiry. The Media House may cancel agreements for breach, legal non-compliance, reputational risk, or non-payment.
13. Pricing & Payment Terms
The valid price list at the time of booking applies. Invoices are issued electronically and are payable upon receipt unless otherwise agreed. Campaigns must be prepaid unless written exceptions apply. Late payments cancel all discounts. Interest accrues at 15% per annum, charged quarterly. Reminder fees of €50 for the first reminder and €100 for the final reminder apply.
14. Liability & Warranty
The Media House aims to provide Media Services professionally but does not guarantee completely error-free performance. The sole remedy for material defects is replacement or corrective service. Refunds are excluded. Liability is limited to foreseeable damages unless mandatory law provides otherwise.
15. Force Majeure
No liability arises for delays or non-performance caused by events beyond reasonable control, including technical failures, cyber incidents, pandemics, government actions, or infrastructure outages. Affected parties must promptly notify the other party.
16. Assignment
Clients may not assign rights or obligations without written consent. The Media House may assign obligations within its corporate group.
17. Governing Law & Jurisdiction
This Policy is governed by the laws of the Republic of Cyprus. Exclusive jurisdiction lies with the courts of Limassol, Cyprus.
18. Amendments
The Media House may amend this Policy with reasonable notice. Continued use of Media Services constitutes acceptance unless objected to in writing within four weeks.
19. Severability
If any provision of this Policy is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
